东北石油在美遭集体诉讼 被纽交所停止交易

[导读]管理层涉嫌非法转移公司帐户资金到个人帐户，东北石油股票已于5月27日被纽交所停止交易。
【财新网】（实习记者 司广亮 18日发自北京）在纽约证券交易所上市的中国东北石油控股有限公司（China North East Petroleum Holdings Limited，下称东北石油）管理层涉嫌非法转移公司帐户资金到个人帐户，遭遇集体诉讼。
美国Rosen律师事务所（The Rosen Law Firm, P.A）宣布，代表东北石油的投资者，对东北石油及其管理人员提出集体诉讼。这些投资者包括东北石油普通股、看涨期权的购买者，以及2009年8月14日至2010年5月26日期间看跌期权的出售者。
起诉书中指出，2009年东北石油CEO王红军（公司CEO）和另一位董事鞠贵芝（音译，王红军之母）涉嫌非法转移公司帐户资金到个人帐户，受此影响，首席财务官张杨（音译）与董事鞠贵芝已经辞职。目前，王红军已经获准行政休假，专心等待法务审计署的审计结果。
东北石油的股票已于5月27日被纽交所停止交易。在此之前公司股票52周最高价达到11.59美元，停止交易时跌至5.50美元。
公开资料显示，成立于2003年的东北石油是一家从事原油生产和开采的民营油田服务企业，目前在中国北方经营着四个油田。公司于2004年在美国纽交所OTCBB借壳上市，并于2009年6月15日成功转板，成为国内第一家在纽交所上市的民营石油企业。

China North is engaged in the exploration and production of crude oil in Northern China. As further disclosed on April 20, 2010, the total adjustments to the Company's net income for the year 2008 and the first three quarters of 2009 are estimated to be more than $28 million. In addition, it is alleged that senior officers of the Company have embezzled monies from the Company.
On May 25, 2010, the Company was delisted from the NYSE AMEX. Thereafter, on May 27, 2010, the Company disclosed the resignation of the Company's Chairman of the Board, CFO, a director, and the placement of the CEO on administrative leave due to preliminarily findings that in 2009, unauthorized cash transfers occurred between the bank accounts of the Company and its subsidiaries and the personal bank accounts of the Company's CEO and a director who is also the mother of the CEO.
